1. Acceptance of these Terms

These Terms of Service ("Terms") form a binding agreement between you and the individual operator of Ziv ("Ziv," "we," "us," or "our"), who operates the website and application at useziv.com (the "Service") as a sole proprietor (an individual, not yet an incorporated company). By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of the Service

Ziv is a public, web-based AI chat application. You can ask questions and receive replies generated by an artificial-intelligence model, and you can open a context-aware side chat from any line in a reply. To generate replies, your messages are transmitted to a third-party AI provider (see Section 8 and our Privacy Policy). The Service is provided on an "as is" and "as available" basis. We may add, change, suspend, or remove features at any time.

3. Eligibility

You must be at least 18 years old to use the Service. By using it, you represent that you are 18 or older and not barred from using it under the laws of your jurisdiction. The Service is not directed to anyone under 18, and we do not knowingly collect personal data from anyone under 18.

4. Accounts and Authentication

To use the Service you must sign in. Authentication is handled by our third-party provider, Clerk, using either Google OAuth ("Sign in with Google") or a one-time code sent to your email address. We do not create or store passwords. You are responsible for maintaining the security of the email or Google account you use to sign in, for all activity under your account, and for promptly notifying us of any unauthorized use.

5. Acceptable Use

You agree that you will not: use the Service for any unlawful purpose; generate or distribute content that is illegal, harmful, abusive, harassing, hateful, defamatory, or that exploits or endangers minors; attempt to generate content designed to harm others; scrape or use automated means to extract data except as permitted; probe or circumvent security or authentication; interfere with, disrupt, or overload the Service (including excessive automated requests or attempts to exceed rate or credit limits); reverse-engineer the underlying models, code, or prompts except where law permits; resell or commercially exploit the Service without our written permission; or impersonate any person or misrepresent your affiliation. We may investigate and take action — including removing content, suspending access, and reporting to law enforcement — against anyone who violates this Section.

6. AI Output — Important Disclaimer

The Service uses AI to generate replies. AI output can be inaccurate, incomplete, outdated, biased, or misleading. You should not rely on it as a sole source of truth. The Service does not provide professional advice — output is not legal, medical, financial, tax, or other professional advice. You are solely responsible for evaluating and verifying any output before relying on it. We do not train AI models on your conversations. Your conversation content is not used to train or fine-tune any AI model, ours or our provider's; it is sent to our AI provider only to generate your replies. See the Privacy Policy.

7. Credits and Payment

Ziv offers a paid subscription, Ziv Plus, for $12/month, processed by a third-party processor (Stripe). New users start with a limited amount of free credit (no card required). Free credit has no cash value. Prices and taxes are shown before purchase; subscriptions renew monthly until cancelled and can be cancelled anytime. Except where required by law, payments and consumed credits are non-refundable.

8. Third-Party Services

The Service relies on third parties including the AI provider (Anthropic), authentication (Clerk), sign-in and analytics (Google), hosting/storage providers, and (where applicable) the payment processor (Stripe). Your use may be subject to those providers' terms. We are not responsible for their acts or omissions. See our Privacy Policy for the current list of sub-processors.

9. Intellectual Property

Your inputs. You retain ownership of the content you submit (your "Inputs"). You grant us a limited, worldwide, non-exclusive license to host, store, process, and transmit your Inputs (including sending them to our AI provider) solely to provide and secure the Service. Outputs. Subject to your compliance with these Terms, we assign to you whatever rights we may have in the replies generated for you. Because of how AI works, Outputs may not be unique and we make no warranty that they are original or non-infringing. Our property. The Service itself — software, design, branding, the "Ziv" name and logos — belongs to us or our licensors. Feedback you send us may be used without restriction.

10. Termination and Account Deletion

You may stop using the Service at any time and may delete your account from within the Service. Deleting your account triggers a hard-delete of your personal data and conversation content, except a minimal set of records we are permitted or required to retain (e.g. to comply with law or prevent abuse). We may suspend or terminate access if you violate these Terms, if required by law, or to protect the Service or other users.

11. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, express, implied, or statutory, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that output will be accurate.

12. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our total aggregate liability will not exceed the greater of (a) the amount you paid us in the twelve (12) months before the event giving rise to the claim, or (b) USD 100.

13. Indemnification

You agree to indemnify and hold harmless the operator of Ziv (and, once incorporated, that entity and its officers, employees, and agents) from any claims, damages, liabilities, and expenses arising out of your Inputs, your use of the Service, or your violation of these Terms or any law or third-party right.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use after changes take effect constitutes acceptance.

15. Governing Law and Disputes

Governing law — to be finalized at incorporation. No jurisdiction is assumed at this time; until a legal entity is formed, these Terms are governed by the law of the operator's place of residence to the extent permitted, subject to any mandatory consumer-protection laws of your country of residence. Arbitration and class-action waiver: except for a small-claims carve-out, you and we agree that disputes will be resolved by final and binding individual arbitration, not in court, and each may bring claims only in an individual capacity (no class or representative proceedings). Some jurisdictions do not permit binding arbitration or class waivers; where that is the case, this Section applies only to the extent permitted by law.

16. Miscellaneous

These Terms, with the Privacy Policy, are the entire agreement regarding the Service. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
